Terms of Service
1. Agreement to Terms
By accessing our website at artelagency.com or engaging our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our website or services.
2. Services
Artel Agency provides AI consulting, chatbot development, task automation, and related technology services. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate service agreement or statement of work signed by both parties.
Our services include but are not limited to:
- AI adoption consulting and strategy
- Customer service chatbot design, development, and deployment
- Internal AI tool development for sales and operations teams
- Knowledge base construction and optimization
- Ongoing chatbot management, monitoring, and optimization
- AI readiness assessments and discovery engagements
3. Client Obligations
You agree to provide timely access to the information, systems, and personnel necessary for us to deliver our services. You are responsible for ensuring you have the rights and permissions to share any data, content, or materials you provide to us.
Delays caused by late or incomplete information from you may impact project timelines and are not the responsibility of Artel Agency.
4. Intellectual Property
Upon full payment, you own all custom deliverables created specifically for your project, including:
- Chatbot configurations and conversation flows
- Custom automation workflows
- Knowledge bases built from your company data
- Custom reports and documentation
Artel Agency retains ownership of its proprietary tools, frameworks, methodologies, and any pre-existing intellectual property used in delivering the services. We reserve the right to use general knowledge, techniques, and experience gained during an engagement for future work.
Artel Agency reserves the right to reference the engagement in case studies, portfolio materials, and marketing content, using only publicly available information and pre-approved metrics, unless otherwise agreed in writing.
5. Payment Terms
Payment terms are specified in your service agreement. Unless otherwise stated:
- Invoices are due within fifteen (15) days of issuance
- Late payments may incur interest at a rate of 2.5% per month
- Artel Agency reserves the right to suspend services for accounts overdue by more than fifteen (15) days
- All fees are quoted in Canadian Dollars (CAD) unless otherwise specified
Project-based engagements may require a deposit before work begins, as specified in the service agreement. Recurring management services are billed monthly via automated subscription.
6. Consultation Services
Artel Agency offers paid consultation sessions at a rate of $99–$128 CAD per hour. Consultation sessions are billed separately from project engagements. Any insights, recommendations, or strategies discussed during a consultation remain the intellectual property of Artel Agency until a formal project engagement is signed.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes but is not limited to:
- Business strategies and operational data
- Customer data and support interactions
- Technical configurations and system architecture
- Financial information and pricing structures
- Knowledge base content and chatbot training data
This obligation survives termination of the engagement for a period of two (2) years.
8. Data Handling
Our handling of personal information is governed by our Privacy Policy. By using our services, you acknowledge and agree to the data practices described therein.
For chatbot implementations, you are the data controller for your end users' personal information, and Artel Agency acts as a data processor on your behalf. Both parties will comply with applicable data protection laws including Quebec Law 25 and PIPEDA.
9. Limitation of Liability
Artel Agency's total liability for any claim arising from our services shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.
We are not liable for indirect, incidental, consequential, or punitive damages, including but not limited to:
- Lost revenue or profits
- Lost data or business interruption
- Damage to reputation or goodwill
- Costs of substitute services
10. No Guarantees on AI Performance
While we strive for the highest quality, AI systems involve inherent variability. We do not guarantee specific outcomes, response accuracy rates, or cost savings. Published metrics reflect past client results and may vary based on your specific use case, data quality, and business context.
AI chatbots may occasionally produce inaccurate or unexpected responses. Artel Agency implements quality assurance measures and ongoing monitoring to minimize such occurrences, but cannot guarantee their complete elimination.
11. Service Level and Availability
For clients on managed service agreements, Artel Agency will make commercially reasonable efforts to maintain chatbot availability and performance. Scheduled maintenance will be communicated in advance when possible.
Artel Agency is not responsible for downtime or performance issues caused by third-party platforms (including but not limited to Voiceflow, hosting providers, or client-side systems), force majeure events, or circumstances beyond our reasonable control.
12. Termination
Either party may terminate an engagement with thirty (30) days written notice. Upon termination:
- You are responsible for payment of all services delivered up to the termination date
- Artel Agency will provide reasonable transition support to ensure continuity
- Access to Artel-managed infrastructure (chatbot hosting, monitoring dashboards) will be discontinued at the end of the notice period unless alternative arrangements are made
- Your data and custom deliverables will be made available to you for a period of thirty (30) days following termination
Artel Agency may terminate or suspend services immediately if the client breaches these terms, fails to make payment after notice, or engages in conduct that is harmful to Artel's operations or reputation.
13. Indemnification
You agree to indemnify and hold harmless Artel Agency, its founders, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services, your violation of these terms, or your violation of any third-party rights.
14. Dispute Resolution
In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may pursue formal resolution.
These terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Montreal, Quebec.
15. Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, internet outages, or third-party service failures.
16. Changes to Terms
We may update these terms from time to time. Material changes will be posted on our website and communicated to active clients. Continued use of our services after changes constitutes acceptance.
17. Severability
If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
18. Entire Agreement
These Terms of Service, together with any signed service agreement, statement of work, and our Privacy Policy, constitute the entire agreement between you and Artel Agency. No oral or written representations made outside of these documents shall be binding.
